In a bold move to scale its artificial intelligence capabilities and deepen its enterprise services portfolio, France-based IT services giant Capgemini has agreed to acquire WNS, an India-headquartered digital BPO and data analytics firm, for $3.3 billion in cash.
The acquisition, announced this week, positions Capgemini to significantly enhance its business process transformation capabilities, particularly through the integration of generative AI and agentic AI systems. The deal is seen as a direct response to growing client demand for more intelligent, automated, and cost-efficient enterprise operations.
Strengthening the AI Core
Capgemini aims to establish a new consulting-led service division focused on driving operational efficiency and digital transformation through AI integration. This includes advanced applications of generative AI models that can automate complex decision-making, and agentic AI to manage adaptive systems across industries.
The acquisition is expected to unlock major value through cross-selling opportunities across the US and UK markets, where both companies already hold substantial client bases. WNS services major global clients such as Coca-Cola, T-Mobile, and United Airlines.
WNS will also expand Capgemini’s high-growth and margin-accretive Digital Business Process Services (DBPS) portfolio, making the French tech group a more formidable player in AI-led outsourcing and consulting globally.
Deal Terms and Market Reaction
Capgemini has offered $76.50 per share in cash—a 17% premium on WNS’s July 3 closing price. The deal excludes financial debt and is expected to close by the end of 2025. Despite the strategic rationale, Capgemini’s stock dipped nearly 5% after the announcement, driven largely by investor concerns over deal leverage and balance sheet flexibility.
Analysts noted that while the acquisition sets up long-term AI integration opportunities, short-term skepticism remains around the impact of generative AI on traditional BPO models—a core component of WNS’s current business.
