Global private equity firm Advent International has reached an agreement to acquire Sapiens International Corporation, a leading developer of intelligent, SaaS-based software for the insurance industry, in a transaction valued at approximately $2.5 billion.
Under the terms of the deal, Advent will pay $43.50 per share for Sapiens, while existing shareholder Formula Systems (1985) Ltd. will retain a minority interest in the company. The acquisition is intended to accelerate Sapiens’ innovation agenda, extend its global market presence, and enhance its ability to drive digital transformation for insurers worldwide.
Focus on Insurance Technology and AI
Sapiens provides cloud-based, digital, and AI-powered solutions for insurers across life, pension and annuity, as well as property and casualty segments. Its products are designed to help carriers modernize their systems, improve operational efficiency, and deliver enhanced customer experiences.
Advent plans to leverage its sector expertise and global resources to support Sapiens in scaling its technology investments, with a particular emphasis on artificial intelligence, SaaS capabilities, and customer-focused innovation.

Formula Systems, a long-term stakeholder in Sapiens, will continue its involvement in the company’s growth, working alongside Advent to strengthen AI adoption and advance next-generation insurance platforms.
